End User License Agreement (EULA)

This End User License Agreement (“EULA” or “Agreement”) is a legal agreement between you (“User,” “you,” or “your”) and Golden Tech Solutions LLC (“Company,” “we,” “us,” or “our”) governing your use of the GoldenIris software platform, accessible at app.goldeniris.ai (the “Software”).

By installing, accessing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not access or use the Software.

1. License Grant

Subject to your compliance with this Agreement and payment of all applicable fees, Golden Tech Solutions LLC grants you a non-exclusive, revocable, non-transferable, non-sublicensable license to access and use the GoldenIris Software solely for your internal business purposes in accordance with the documentation and within the plan limits applicable to your subscription tier.

This license does not include any right to:

Copy, modify, adapt, or create derivative works of the Software
Reverse engineer, decompile, disassemble, or attempt to derive source code from the Software
Sublicense, sell, resell, transfer, or assign your license rights to any third party
Use the Software to build a competing product or service
Remove or alter any proprietary notices, labels, or marks on the Software

2. License Restrictions

You agree not to use the Software in any manner that:

Violates applicable local, state, national, or international laws or regulations
Infringes the intellectual property or privacy rights of any third party
Involves unauthorized access to the Software or its underlying infrastructure
Circumvents usage limits, seat limits, or plan entitlements
Allows multiple users to share a single account credential
Introduces malicious code, viruses, or harmful components

Any use outside the scope of the license grant automatically terminates your license rights under this Agreement.

3. Intellectual Property Ownership

Company IP

GoldenIris and all components thereof — including but not limited to software, algorithms, models, user interfaces, branding, documentation, and all intellectual property embodied therein — are and shall remain the exclusive property of Golden Tech Solutions LLC or its licensors. Nothing in this Agreement transfers or conveys any ownership interest in the Software to you.

User Content

You retain all ownership rights to content you create, upload, or generate within GoldenIris (“User Content”), including brand profiles, voice profiles, and published materials. You grant Golden Tech Solutions LLC a limited, non-exclusive, royalty-free license to host, store, process, and transmit your User Content solely as necessary to operate the Software and provide services to you.

Feedback

Any suggestions, feedback, or improvement ideas you provide regarding the Software may be used by Golden Tech Solutions LLC without obligation or compensation to you.

4. Updates and Modifications

Golden Tech Solutions LLC may, at its discretion, provide updates, patches, or new versions of the Software. Your continued use following any update constitutes acceptance of the modified Software. We reserve the right to modify or discontinue features with or without notice, subject to the notification obligations in our Terms of Service.

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOLDEN TECH SOLUTIONS LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT. GOLDEN TECH SOLUTIONS LLC DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, BE ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY GOLDEN TECH SOLUTIONS LLC OR ITS REPRESENTATIVES SHALL CREATE ANY WARRANTY.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GOLDEN TECH SOLUTIONS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF GOLDEN TECH SOLUTIONS LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL GOLDEN TECH SOLUTIONS LLC’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO GOLDEN TECH SOLUTIONS LLC IN THE SIX (6) CALENDAR MONTHS IMMEDIATELY PRECEDING THE CLAIM GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100.00). THE FOREGOING LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, THE LIMITATIONS ABOVE APPLY ONLY TO THE EXTENT PERMITTED BY LAW.

8. Indemnification

You agree to indemnify, defend, and hold harmless Golden Tech Solutions LLC and its officers, directors, employees, contractors, agents, licensors, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your use or misuse of the Software; (b) your User Content; (c) your violation of this Agreement or any applicable law; or (d) your infringement of any third-party right.

9. Term and Termination

Term

This Agreement is effective from the date you first access the Software and continues until terminated.

Termination by You

You may terminate this Agreement at any time by canceling your subscription and ceasing use of the Software.

Termination by Golden Tech Solutions LLC

Golden Tech Solutions LLC may terminate this Agreement and your license immediately upon notice if you breach any provision of this Agreement, violate our Acceptable Use Policy, or fail to pay applicable fees. We may also terminate the Software or any portion thereof at any time for any reason upon reasonable notice.

Effect of Termination

Upon termination, your license rights end immediately. You must cease all use of the Software. Sections 3, 6, 7, 8, 10, and 11 survive termination.

10. Dispute Resolution

This Agreement is governed by the laws of the State of New Hampshire, USA, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to this Agreement shall be resolved exclusively in the state or federal courts of Strafford County, New Hampshire, and both parties consent to personal jurisdiction in such courts.

Before initiating formal proceedings, both parties agree to attempt to resolve disputes informally by contacting legal@goldeniris.ai and engaging in good faith negotiation for at least 30 days.

11. General Provisions

Entire Agreement: This EULA, together with the Terms of Service and Privacy Policy, constitutes the complete agreement between you and Golden Tech Solutions LLC regarding the Software and supersedes all prior agreements.
Severability: If any provision is found unenforceable, it shall be modified to the minimum extent necessary, and the remaining provisions shall remain in effect.
No Waiver: Failure to enforce any right does not constitute a waiver of future enforcement.
Assignment: You may not assign this Agreement without prior written consent from Golden Tech Solutions LLC. Golden Tech Solutions LLC may assign this Agreement in connection with a corporate transaction.
Export Compliance: You represent that you are not located in a jurisdiction subject to US export restrictions and will comply with all applicable export control laws.
